Monday’s biggest gaining and declining stocks

CHICAGO (MarketWatch) — Below are some of Monday’s biggest gaining and declining stocks:

Gainers

Focus Media Holding Ltd. FMCN +8.85%  rose 9% on news that a group of investors has proposed taking the Chinese company private for $27.00 per American depositary share, or $4.50 in cash per ordinary share. The company’s board of directors has formed a committee to evaluate the proposal.
FSI International Inc. FSII +52.48%  shares were up 52% after Tokyo Electron Ltd.JP:8035 0.00%  signed an agreement to acquire the microelectronics-equipment manufacturer for about $243 million.
NetSol Technologies inc. NTWK +13.33%  was up 13% after the provider of information technology and enterprise applications issued an upbeat fiscal 2013 outlook.
Pervasive Software Inc. PVSW +23.21%  shares jumped 23% after Actian Corp. offered to buy the firm for $8.50 a share, or $154 million in cash. The deal represents a 30% premium over Pervasive’s Friday closing price.

Sears Holdings Corp. SHLD +5.72% shares added 5.7%. The retailer received positive mention in Barron’s financial newspaper over the weekend. Through Aug. 9 this year, Sears Holdings stock surged 59%, making it the eighth-best performer on the S&P 500 and the second-best performer year- to-date in the retail sector. Read MarketWatch’s Sears analysis.
Shares of Stoneridge Inc. SRI +5.19% , the automotive electronics firm, rose 5.2%. Analysts at B. Riley upgraded the shares to buy from neutral following Stoneridge’s second-quarter results released last week.

Decliners

Arrowhead Research Corp. ARWR -14.15%  fell 14% after the pharmaceutical company said it raised $6.2 million in a public offering of 2.3 million shares of its common stock and warrants to purchase 1.7 million shares.
U.S.-listed shares of BioLine RX Ltd. BLRX -12.45%  fell 12%. The Israeli biotech firm said Friday that it is offering $75 million of mixed securities for sale.
SciClone Pharmaceuticals Inc. SCLN -16.32%  shares were down 16% after Cowen & Co. downgraded the stock to neutral from outperform.
U.S.-listed shares of Tower Semiconductor Ltd. TSEM -10.82%  shed 11%.
